Terms of Service

Introduction

These Terms of Service ("Terms") are an agreement between you and Scribe Saas, LLC ("we", "us" or "our"), the company that operates MakeMidas. They govern your use of makemidas.com (the "Service"), which makes images and videos with AI models from your text prompts and pictures, including pet portraits. By using the Service you agree to these Terms. If you do not agree, do not use the Service.

The Service

You describe what you want, optionally add reference pictures, choose a model and settings, and the Service generates images or video clips. Generations are paid with credits. Outputs are created by third-party AI models; see AI-Generated Results.

Eligibility and Accounts

You must be at least 18 years old to use the Service.

You need an account to generate. Keep your sign-in details safe and accurate; you are responsible for activity under your account. One person may not use several accounts to collect extra free credits.

Plans, Credits and Payment

Plans and credit packs

• Subscriptions (monthly or yearly) grant credits each month and renew automatically until you cancel. You can cancel renewal at any time from Billing in your settings; your plan stays active until the end of the paid period.
• Credit packs are one-time purchases. Their credits last 6 months from purchase.
• Free daily credits are given to every signed-in account and expire at midnight UTC. Outputs made with them carry a watermark, and some models and settings need a plan or a credit pack.

When credits expire at different times, the ones that expire first are used first. Credits have no cash value, cannot be transferred or sold, and cannot be exchanged for money except where the law requires it.

Credit costs

Each generation uses a number of credits that depends on the model, the resolution, how many outputs you ask for, and for video the length and sound. The credit cost of models may change over time, including as the prices charged by AI model providers change. The cost is always shown before you start a generation. A change never affects a generation you have already started and never removes credits you already have. If a generation fails, its credits are returned.

Prices and payment

Prices are shown on our pricing page and at checkout before you pay. Payments are processed by Stripe, and your purchase is also subject to Stripe's terms. We may change plan and pack prices; a price change for a subscription applies from your next billing period after we tell you about it, and never to a payment already made.

All fees are exclusive of all taxes, levies or duties imposed by taxing authorities. Where required, we will collect these taxes on behalf of the taxing authority and remit them to it. Otherwise, you are responsible for payment of all taxes, levies or duties.

Refunds

Because you can try the Service with free daily credits, completed payments are final. Billing errors are always fixed, and failed generations are refunded in credits automatically. See our Refund Policy. Any refund right you have under the law of your country is unaffected.

Your Content

What you provide

You keep all rights to the prompts, pictures and other material you submit ("Inputs"). You give us a limited, worldwide, non-exclusive, royalty-free license to store and process Inputs only to provide the Service to you, including sending them to the AI model you chose.

By submitting a picture, you confirm that you have the right to use it, and that every person shown in it has agreed to its use or, for a child, that you are their parent or legal guardian or have that person's permission.

What you make

Images and videos you generate ("Outputs") can be used as described on our Licenses page: Outputs made on a paid plan or with bought credits may be used for any purpose, including commercial use; Outputs made with free credits are for personal use.

Acceptable Use

You agree not to use the Service to:

• submit pictures of people without their permission, or of children you are not responsible for;
• create sexual content, or content that is violent, hateful or harassing, or that exploits or endangers minors;
• create images or videos meant to deceive, defame or impersonate a real person, such as fake events, fake endorsements or non-consensual likenesses;
• infringe anyone's copyright, trademark, privacy or other rights;
• get around free credit limits, watermarks or plan limits, or interfere with, overload, reverse-engineer or attack the Service.

We and the model providers may refuse to generate content, and we may remove content that breaks these rules.

AI-Generated Results

Outputs are generated by AI and results vary. We do not guarantee that an Output will match your prompt, keep the likeness of a person or pet, be accurate, or be unique; a model may produce similar Outputs for other people. Models are provided by third parties and may change or become unavailable. The Service is provided "as is" and "as available", without warranties of any kind to the extent the law allows.

Intellectual Property

The Service, including its software, design and content (other than your Inputs and Outputs), belongs to us and is protected by intellectual property laws.

If you believe content on the Service infringes your copyright, email support@makemidas.com with the details of a copyright (DMCA) notice. We will respond, which may include removing the content and ending repeat infringers' access.

Termination

We may suspend or end your access to the Service if you break these Terms or use the Service in a way that could cause harm or legal liability. If we end your access because you broke these Terms, unused credits are forfeited. Outputs you made on a paid plan remain usable under the Licenses terms.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits or goodwill, arising from your use of or inability to use the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim.

Changes to These Terms

We may update these Terms. We will post the updated version on this page and change the date above. If you keep using the Service after changes take effect, you accept the updated Terms.
